Terms of Service

1. License & Permitted Use

QuantumAI Shield grants you a limited, non-exclusive, non-transferable, revocable license to access and use the platform solely for your internal AI compliance automation needs within your organization.

You may generate, download, and use compliance documents (policies, risk assessments, audit trails) for your own regulatory and governance purposes. You own the outputs you create.

Our solutions are not merely a toolset but a fully executed, customizable platform tailored to your AI ecosystem.

2. Restrictions

You expressly agree not to:

• a. Resell, redistribute, sublicense, or white-label the platform or generated outputs as your own service
• b. Claim authorship or ownership of our underlying AI architecture, models, or proprietary algorithms
• c. Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the platform
• d. Use the platform outside the defined project scope or for unrelated purposes
• e. Remove or alter any copyright, trademark, or proprietary notices
• f. Share account credentials or allow unauthorized third-party access
• g. Use the platform to develop competing products or services

Violation of these restrictions constitutes material breach and may result in immediate termination of access.

3. Disclaimers & Limitation of Liability

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND. We do not guarantee that outputs will satisfy any regulator, auditor, or legal requirement. QuantumAI Shield is an automation tool — final responsibility for compliance remains with you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• a. Our total liability shall not exceed the fees you paid in the 12 months preceding any claim
• b. We are not liable for indirect, incidental, consequential, or punitive damages
• c. We are not liable for “harvest now, decrypt later” attacks until Phase 3 post-quantum cryptography is deployed

4. Compliance & Governance

You are solely responsible for:

• a. Providing accurate and complete inputs (company data, AI system details, risk classifications)
• b. Reviewing and validating all AI-generated outputs before submission to regulators or auditors
• c. Maintaining human oversight — our AI automates documentation, not decision-making
• d. Complying with applicable laws (EU AI Act, NIST, ISO 42001, export controls, data protection)

We may monitor usage to ensure compliance with these Terms and applicable regulations.

5. Termination

We may suspend or terminate your access immediately for breach of these Terms, especially the Restrictions above. Upon termination, you must cease all use and destroy any cached copies.

6. Governing Law

These Terms are governed by the laws of the State of California, USA. Disputes shall be resolved through binding arbitration in San Francisco, CA.

7. Changes

We may update these Terms at any time. Continued use after changes constitutes acceptance.
